Bad Actor Check - We walk you and your executive team through the process of the SEC required Bad Actor Check that checks to see if you have any previous SEC violations. - $85/Executive
Build and Manage Marketing Plan - We work with you and your marketing team to build a website and social media accounts with engaging content.

Raise Capital - We market your company to our network of investors and find the right investor for your and your project. We can raise $50,000 and up over a year period. We are typically able to get our clients at least $25,000 within the first 60 days. We charge a 6.5% commission for every dollar raised.

Crowdfunding is not a new phenomenon. Crowdfunding has actually been around for centuries! From churches to schools to businesses, crowdfunding is simply a group of strangers pooling their funds together to accomplish a single goal or project.
Crowdfunding has recently been made into the new buzz word for startups and companies seeking funding. This newfound fame can be attributed to President Barack H. Obama signing into law the JOBS Act of 2012. This law is designed to lower the requirements for companies to raise money from the general public. Previously, only the wealthy and connected had access to the type of investment opportunities that have the ability to create life changing wealth. Now, with the new law, anyone can invest in private investment offers with the proper SEC exemption obtained by the company seeking funding.
The new law added two exemptions that give companies the opportunity to promote their investment opportunity and accept investment from anyone. The first is the Regulation A+ exemption. This exemption allows companies to raise up to $50 million in 12 month period. Companies may advertise using social media, TV and radio ads, press releases, in person events and much more to reach investors. Investors may be accredited, having a net worth above $1 million or annual income of $200,000, or unaccredited. Companies may use a website and investor management software to process and receive investments, making the process extremely efficient.
In order to qualify for this exemption, companies issuing debt or equity shares are required to offer significant disclosures and will require full review and approval by the SEC and the company’s legal counsel. Estimated costs to prepare the necessary CPA audits, legal reviews, business and marketing plan and SEC application fees and expenses to launch and successfully run a Reg A+ offering are estimated to be between $100k-$200k and take 6-9 months for preparation, review and approval. The Reg A+ as it’s called in the industry, closely resembles the process for a full on IPO and listing to a national trading board such as the NYSE or NASDAQ.
The second exemption that was created is the Regulation Crowdfunding or Reg CF exemption. This exemption allows companies to raise debt or equity from the general public. The same rules apply as above, accredited and unaccredited investors may invest from anywhere in the world. The key difference being companies may only raise up to $1.07 million in a 12 month period using this exemption.
There are considerably less disclosures and reviews needed for a Reg CF offer. Only a CPA review is needed and SEC review and approval can be obtained within a week. Estimated costs to launch and run a successful Reg CF offer range from $10,000-$100,000.
Both exemptions offer a great way to efficiently reach the general public to raise funding for business. With a well executed marketing plan, great success can be achieved in a relatively short period of time. The rise and success of crowdfunding over the past few years has only amplified as the industry is able to learn and grow. HOW LONG DOES IT TAKE TO SEE RESULTS?
Within 7 days, we will form a new LLC in your headquarter state, obtain Employer Identification Number, and complete and submit the necessary paperwork for SEC approval. Within 14 days, we will have your marketing systems and assets in place. Within 21 days, we will begin your ad campaign to find new customers. Within 30 days of signing up, we will complete SEC registration and begin connecting you with investors. Our goal is to achieve $10,000 in investments within 45 days of sign up and to establish a growing sales trend.
We require companies to commit to working with us for 12 months, the maximum time allowed by SEC Regulations to raise money from investors. During tgat time, we work nonstop to maximize the value we bring to your business. Within 12 months your sales and investor relations will increase.

WHAT STATE SHOULD I USE TO CREATE MY COMPANY?
You can create a company in any of the 50 states. The state you choose will consider your company a domestic company, or native born, and will require you to have a registered agent with a physical address within the state. Anyone can serve as your registered agent, even yourself. We charge $50/year to serve as the registered agent for businesses born in Texas.
All other states will consider your business foreign and will require you to pay a filing fee to transaction business within their borders. Save money by staying home until you have business to conduct in other states.
